Capgemini has entered into a definitive agreement to acquire WNS, a digital-led business transformation and services company, for a total cash consideration of $3.3 billion. The acquisition aims to create a global leader in Agentic AI-powered Intelligent Operations, blending Capgemini’s consulting and platform capabilities with WNS’s sector-specific process expertise across industries like BFSI, travel, healthcare, and manufacturing.
The deal is expected to be EPS accretive by 4% in 2026 and 7% post-synergies in 2027, marking a strategic milestone in the evolution of intelligent, AI-driven business operations. Subject to regulatory and shareholder approvals, the transaction is expected to close by the end of 2025.
